A retainer does not constitute the outsourcing of the employer’s HR function unless explicitly stated in writing. The client organisation remains the legal employer and retains full responsibility for all employment decisions and compliance with employment law.
13.1. Scope of retainer services
Retainer services may include:

guidance on employment law and HR best practice

assistance with people management issues

review of internal HR policies or procedures
The exact services included will depend on the retainer package agreed between Novus People Advisory Ltd and the client.
13.2. Services outside the retainer
Certain services may fall outside the standard retainer scope and may be charged separately. These may include:

mediation services

large-scale organisational change or restructuring projects

tribunal preparation support

extensive policy development

in-person consultancy attendance where not included within the retainer package
Where work falls outside the retainer scope, Novus People Advisory Ltd will confirm additional fees before commencing work.
13.3. Fair usage of retainer services
Retainer arrangements are intended to provide reasonable access to HR advisory support.
Where a client’s use of the retainer significantly exceeds reasonable usage or requires substantial additional work, Novus People Advisory Ltd reserves the right to propose additional consultancy support or adjust the retainer arrangement.
13.4. Communication and response times
Retainer support is normally delivered through email, telephone or virtual meetings.
While we aim to respond promptly, response times may vary depending on workload and the complexity of the issue.
Retainer services do not constitute emergency support and do not guarantee immediate responses unless otherwise agreed.
13.5. Client responsibilities
Clients engaging Novus People Advisory Ltd agree to:

provide accurate and complete information when seeking advice

retain responsibility for all employment decisions and implementation

comply with applicable employment legislation and regulatory obligations

obtain independent legal advice where appropriate
Advice provided by Novus People Advisory Ltd supports decision-making but final responsibility for employment actions rests with the employer.
13.6. Fees and payment
Retainer fees will be agreed in advance between Novus People Advisory Ltd and the client organisation.
Unless otherwise agreed:

retainers are billed monthly in advance
-
invoices must be paid within the payment period stated on the invoice
-
failure to make payment may result in suspension of services
Novus People Advisory Ltd reserves the right to review retainer pricing periodically with reasonable notice.
13.7. Minimum retainer period
Where a minimum engagement period applies, this will be agreed at the commencement of the retainer.
Unless otherwise agreed, either party may terminate the retainer by providing 30 days written notice following the minimum term.
13.8. Termination
Novus People Advisory Ltd may terminate a retainer arrangement immediately where:

fees remain unpaid

the client engages in unlawful conduct
-
the working relationship has irretrievably broken down
14. Confidentiality
Novus People Advisory Ltd will treat all client information as confidential and will take reasonable steps to protect the confidentiality of information shared during the course of providing services.
Information may only be disclosed where required by law or where necessary for professional service delivery
15. Advisory limitation
HR advice provided by Novus People Advisory Ltd is based on the information provided by the client and on the understanding of employment law and HR practice at the time advice is given.
Novus People Advisory Ltd does not provide legal representation and cannot guarantee the outcome of employment disputes, regulatory investigations or tribunal proceedings.
Clients should seek independent legal advice where appropriate.
